How a tender-offer buyback works
The board approves the buyback, then shareholders where the law requires it. The company announces a record date: everyone holding shares at the end of that day can tender them during the offer window at the buyback price.
SEBI's buyback rules reserve 15% of the shares bought for small shareholders, those holding shares worth up to ₹2 lakh on the record date. If more shares are tendered than the company buys, each holder's acceptance is cut in proportion, and the rest are returned.
Key takeaways
- 5 buybacks in progress on NSE.
- Largest: VRLLOG, up to ₹280 crore at ₹320.
- 15% of each tender-offer buyback is reserved for small shareholders.
